CATERSOFT - Subscription Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your use of the Catersoft software platform ("Service") provided by CATERSOFT UK LTD ("we", "us", "our"). By creating an account, accessing the Service, or paying any subscription fees, you agree to be bound by these Terms.

We may update these Terms from time to time. Continued use of the Service after changes are published constitutes acceptance of the updated Terms.

2. Subscription model

The Service is provided on a subscription basis as follows:

  • The Service operates on a monthly rolling subscription.
  • There is no minimum contract period unless agreed separately in writing.
  • Subscriptions automatically renew every month until cancelled in accordance with these Terms.

3. Fees & payment

  • Subscription fees are payable monthly in advance.
  • All fees are strictly non-refundable, including (but not limited to) partial months, unused features, or periods of inactivity.
  • We reserve the right to change pricing with 30 days' notice.
  • Setup Fees will be due on the date you joined.
  • First monthly payment will be due on the 30th day from the date you joined
That means, if you joined today (24/Apr/2026) your setup fees will be taken immediately, and your first monthly payment will be taken on 24/May/2026

3.1 Non-payment

If payment is not received by the due date, we may, at our discretion:

  • Suspend access to the Service;
  • Terminate your account;
  • Apply late payment charges where applicable; and/or
  • Recover outstanding amounts through debt recovery processes.

We are not responsible for any data loss, loss of access, or business impact resulting from suspension or termination due to non-payment.

4. Cancellation

  • You may cancel your subscription at any time by providing 30 days' written notice.
  • Cancellation takes effect at the end of the current billing cycle following the notice period.
  • No refunds are issued for any reason, including early cancellation.

5. No refund policy

To maintain fairness and operational stability, all payments are strictly non-refundable. This includes, without limitation:

  • Change of mind;
  • Non-usage of the Service;
  • Partial months of service;
  • Account closure or cancellation;
  • Technical issues caused by your own systems, devices, or internet connection.

Where the Service is unavailable due to our fault, we may, at our sole discretion, apply a service credit. This will never take the form of a monetary refund.

6. Fair usage policy

To protect system performance and availability for all customers, you agree not to:

  • Upload excessive or unreasonable amounts of data beyond normal business use;
  • Send bulk or automated emails beyond normal business use;
  • Use the Service in a way that degrades performance for other users;
  • Attempt to bypass usage limits, security controls, or technical restrictions.

We may apply technical limits, throttle usage, or suspend accounts that breach this fair usage policy or otherwise impact the stability of the Service.

7. Data ownership & GDPR

  • You retain ownership of all data you input into the Service ("Customer Data").
  • We own all software, code, interfaces, designs, and intellectual property of the platform.
  • For the purposes of data protection law, you are the Data Controller and we are the Data Processor.
  • A Data Processing Agreement (DPA) forms part of these Terms and governs our processing of Customer Data on your behalf.
  • You are responsible for ensuring your use of the Service complies with GDPR and all applicable laws.

We may access Customer Data only for the following purposes:

  • Providing, maintaining, and supporting the Service;
  • Security monitoring, fraud prevention, and abuse detection;
  • Compliance with legal obligations or lawful requests from authorities.

8. Service availability

We aim to provide reliable access to the Service but do not guarantee uninterrupted uptime. Maintenance, updates, or unforeseen technical issues may temporarily affect availability.

We are not liable for:

  • Downtime or service interruptions;
  • Loss or corruption of data;
  • Loss of business, revenue, or profit;
  • Failures of third-party services (including hosting providers, email services, or payment gateways).

9. Support

Support is provided during our published support hours and through our standard support channels. Unless a separate Service Level Agreement (SLA) is agreed in writing, we do not guarantee specific response or resolution times.

10. Acceptable use

You must not use the Service to:

  • Engage in any unlawful, fraudulent, or harmful activity;
  • Upload or distribute malicious code, spam, or harmful content;
  • Attempt to reverse engineer, copy, or replicate the platform;
  • Share login credentials or allow unauthorised access to your account;
  • Interfere with the security, performance, or integrity of the Service.

We may suspend or terminate your account if we reasonably believe you have breached this acceptable use section.

11. Intellectual property

All intellectual property rights in and to the Service, including but not limited to software, user interfaces, workflows, documentation, and branding, are and shall remain the exclusive property of Catersoft UK LTD or its licensors.

You are granted a non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes while your subscription is active and in good standing.

12. Limitation of liability

To the maximum extent permitted by law:

  • Our total aggregate liability arising out of or in connection with these Terms or your use of the Service shall be limited to one month of subscription fees.
  • We shall not be liable for any indirect, consequential, special, or incidental losses, or for any loss of profit, revenue, business, or anticipated savings.
  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind.

13. Indemnity

You agree to indemnify and hold harmless Catersoft UK LTD, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your misuse of the Service;
  • Your breach of these Terms;
  • Your violation of any applicable law;
  • Your handling or processing of Customer Data.

14. Termination

We may suspend or terminate your access to the Service immediately, without refund, if:

  • You breach these Terms;
  • You fail to pay any fees when due;
  • You misuse the Service or engage in fraudulent or illegal activity;
  • We are required to do so by law.

15. Governing law

These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any disputes.
